The Notice explains how we fulfill our commitment to respect the privacy and confidentiality of your protected health information. This Notice tells you about the ways we may use and share your protected health information, as well as the legal obligations we have regarding your protected health information. The Notice also tells you about your rights under federal and state laws. The Notice applies to all records held by Parsley Health's facilities and programs, regardless of whether the record is written, computerized or in any other form. We are required by law to make sure that information that identifies you is kept private and to make this Notice available to you.

Your Rights

When it comes to your health information, you have certain rights.

This section explains your rights and some of our responsibilities to help you.

Get a copy of your paper or electronic medical record
- You can ask to see or get an electronic or paper copy of your medical record and other health information we have about you. Ask us how to do this.
- We will provide a copy or a summary of your health information, usually within 30 days of your request. We may charge a reasonable, cost-based fee.
Correct your paper or electronic medical record
- You can ask us to correct health information about you that you think is incorrect or incomplete. Ask us how to do this.
- We may say "no" to your request, but we'll tell you why in writing within 60 days.
Request confidential communication
- You can ask us to contact you in a specific way (for example, home or office phone) or to send mail to a different address.
- We will say "yes" to all reasonable requests.
Ask us to limit the information we share
- You can ask us not to use or share certain health information for treatment, payment, or our operations.
  - We are not required to agree to your request, and we may say "no" if it would affect your care.
- If you pay for a service or health care item out-of-pocket in full, you can ask us not to share that information for the purpose of payment or our operations with your health insurer.
  - We will say "yes" unless a law requires us to share that information.
Get a list of those with whom we've shared your information
- You can ask for a list (accounting) of the times we've shared your health information for six years prior to the date you ask, who we shared it with, and why.
- We will include all the disclosures except for those about treatment, payment, and health care operations, and certain other disclosures (such as any you asked us to make). We'll provide one accounting a year for free but will charge a reasonable, cost-based fee if you ask for another one within 12 months.

Your Choices

For certain health information, you can tell us your choices about what we share.

If you have a clear preference for how we share your information in the situations described below, talk to us. Tell us what you want us to do, and we will follow your instructions.

In these cases, you have both the right and choice to tell us what to share
- Share information with your family, close friends, or others involved in your care
- Share information in a disaster relief situation
- Include your information in a hospital directory
If you are not able to tell us your preference, for example if you are unconscious, we may go ahead and share your information if we believe it is in your best interest. We may also share your information when needed to lessen a serious and imminent threat to health or safety.

Our Uses and Disclosures

How do we typically use or share your health information?

We typically use or share your health information in the following ways.

Treat you
- We can use your health information and share it with other professionals who are treating you.
Example: A doctor treating you for an injury asks another doctor about your overall health condition.
Run our organization
- We can use and share your health information to run our practice, improve your care, and contact you when necessary.
Example: We use health information about you to manage your treatment and services.
Bill for your services
- We can use and share your health information to bill and get payment from health plans or other entities.
Example: We give information about you to your health insurance plan so it will pay for your services.

How else can we use or share your health information?

We are allowed or required to share your information in other ways - usually in ways that contribute to the public good, such as public health and research. We have to meet many conditions in the law before we can share your information for these purposes. For more information see: HHS.GOV consumer home .

Help with public health and safety issues
- We can share health information about you for certain situations such as:
  - Preventing disease
  - Helping with product recalls
  - Reporting adverse reactions to medications
  - Reporting suspected abuse, neglect, or domestic violence

Do research
- We can use or share your information for health research

- We will share information about you if state or federal laws require it, including with the Department of Health and Human Services if it wants to see that we're complying with federal privacy law

- We can share health information with a coroner, medical examiner, or funeral director when an individual dies.

We provide electronic access to your health information via the Cerbo Patient Portal.

Our Responsibilities

We are required by law to maintain the privacy and security of your protected health information.
We will let you know promptly if a breach occurs that may have compromised the privacy or security of your information.
We must follow the duties and privacy practices described in this notice and give you a copy of it.
We will not use or share your information other than as described here unless you tell us we can in writing. If you tell us we can, you may change your mind at any time. Let us know in writing if you change your mind.

Changes to the Terms of this Notice

BINDING MEMBER AGREEMENT

The following outlines our fees and policies specifically related to membership at Parsley Health. Please read them closely! They are also available on our website, parsleyhealth.com.

A. Parsley Membership Details

1. The Parsley Health Founding Membership -only for new locations

Founding Member Pre-Launch Special: $1000 for the year - for life.

Because we are hoping you will support this new location in its infancy, we are offering a pre-launch discounted membership for $1,000 per year.

In order to take advantage of this discount, you must pay the full membership fee on or before a new office opening.

What's included in your membership:

Up to 5 in-person, phone, or telemedicine/video visits with an LA doctor annually
24 in-person, phone, or telemedicine/video visits with one of our health coaches (visits usually last roughly 30-50 minutes)
Unlimited email contact with your doctor , health coach, and our staff for simple questions
Access to functional medicine testing (fees are not included in your membership fee).
Discounted medical-grade supplements from Parsley's carefully selected certified and trusted manufacturers.
Discounted vitamin and mineral shots as recommended by your LA doctor.
Members only events, including things like healthy cooking classes, meditation workshops, dinners, farmer's market tours, and live Google Hangouts for Q&A with Parsley doctors & Parsley's team of experts and friends.
Online scheduling, payment, and requests for prescription refills.
Access to Parsley's Patient Portal where members will have access to notes, lab reports, educational materials, and their entire health record.
Long distance phone and video (telemedicine) visits with your Parsley care providers
The cost of membership may be eligible to be paid for with you FSA/HSA if you have one

2. The Parsley Medical Membership

*Please note that if you select this membership and you do not reside in New York or California, your initial visit must be in person at Parsley Health's New York City office*

Fees: $149 per month for 12 months (total $1788), or $1640 for the year upfront.

A minimum one-year membership is required. It is your choice whether to pay in monthly installments of $149 for 12 months (a total of $1788), or to pay for the year's membership up front and get one month free for a price of $1640.

What's included in your Parsley Annual membership:

5 in-person, phone, or telemedicine/video visits with Dr. Berzin annually. Your initial visit is 75 minutes and in person. Visits thereafter are up to 60 minutes and can be in person or via phone or video.
Unlimited health coaching sessions in-person, phone, or telemedicine/video visits with one of our Parsley health coaches (visits usually last roughly 30-45 minutes).
Unlimited email contact with Dr. Berzin, health coaches, and our staff for simple questions.
Biomarker testing as needed and ordered by a Parsley physician. Testing can be done at Parsley or at the local lab facility that your insurance specifies.

The goal of these tests will be to establish nutritional deficiencies, hormonal imbalances, certain cardiovascular risk factors and certain markers of inflammation.
You will have full access to the results of your tests on the member portal.

Access to professional-grade supplements from Parsley's carefully selected certified and trusted manufacturers via our website and our online supplement dispensary partner, FullScript.

Purchasing supplements is not required and is completely optional.
Supplements are not included in the price of membership

Access to vitamin and mineral shots as recommended by a Parsley physician.
Community Benefits for the duration of your membership:

Discounts at our partners such as Shift Physical Therapy and Kula Yoga in New York City.
Free access to monthly virtual webinars (which are not free to the public)
Special events. We regularly host special private events for members such as talks, parties and workshops.
Supplement discounts. Select supplements are priced at a discount for members only.

Access to Parsley's Patient Portal where members will have access to provider notes, lab reports, educational materials, and their Parsley health records.
Online scheduling, payment, and requests for prescription refills.
Long distance phone and video (telemedicine) visits with your Parsley providers
The cost of membership may be eligible to be paid for with FSA/HSA - you must check with the terms and conditions of your insurance plan and the rules around FSA/HSA dollars specific to that plan. Parsley cannot guarantee eligibility.

B. Important Universal Membership Terms

When does my membership start?

Your membership begins the day you register online.

While you may not see your Parsley provider day 1, you have the opportunity to reserve time on their calendar day 1, which is why membership starts the day you register. Most people get their first visit anywhere from 1 day to 2 weeks after registration, depending on their personal availability.

What if I change my mind or feel Parsley is not for me?

If you purchased a founding membership your membership cannot be canceled or refunded unless Parsley does not begin operations.

You have 30 days from the day you register online to change your mind and receive a full refund of your membership fee, minus a first month's registration fee ($149) if and only if you have NOT yet seen your Parsley doctor or coach.

If you have already had your initial visit with your Parsley doctor and are dissatisfied with your service for any reason, as long as it is within 60 days of your initial registration date, you may cancel your membership for a full refund minus a $149 registration fee plus a cancellation fee of $599. Once you've had your second visit with your Parsley doctor, your membership is considered activated and cannot be refunded.

What's not included in any membership:

Supplements members choose to purchase through Parsley or other sources.
The cost of laboratory tests. Many lab tests are covered fully or partially by your health insurance plan, however some may not be covered at all, or may require a co-pay.
Healthcare services other than those specified above, whether provided by Parsley or others. Services provided other than by Parsley, such as emergency and specialist care, will be billed to you or your insurance plan by those providers.
Non-medical services recommended by Parsley but provided by others, such as acupuncture and fitness classes.
Medications whether prescribed or over-the-counter.
Health insurance. We are not a health insurance provider and do not satisfy federal requirements that you have health insurance coverage.
Non New York and California members please note: Your Parsley physician cannot prescribe you a medication if they do not meet you in person.

What are the restrictions if I do all medical visits virtually?

Only New York and California residents may have 100% virtual visits at this time. Residents of all other states must be seen in person for their first visit. After that all follow up visits can be via phone, video or in person as you choose.

For all members, any health coaching visit can be in person or virtual without restriction.

Virtual members are considered otherwise the same as all other Parsley members. You have access to our advice as wellness consultants, use of the online member portal and we can recommend lab tests and supplements for you based on the information you share with us.

Please note you must have a local primary care doctor or another source of emergency and urgent care regardless of your location of residence, as Parsley is not a 24/7 emergency care or urgent care service.

What if I feel I need more visits with the doctor than my medical membership includes?:

Option 1: If you feel you need more than 5 physician visits per year you may add additional visits for $250 each.
Option 2: Medical members may upgrade their membership to unlimited physician visits for an additional one time fee of $1000. Upgrading to the unlimited visit membership applies to the current membership year only.

What counts as a visit with your doctor?

Initial in person visits are always scheduled for 75 minutes.
The first follow up visit will be 60 minutes and may be in person, via phone, or via video/telemedicine.
Additional sessions will last 30 minutes and can be in person, via phone or via telemedicine/video.

Therefore, membership includes 5 visits, but does not include a certain number of hours with your doctor, as we are focused on results and efficiency, not hours spent.

Simple medical questions can be handled via email or via the patient portal and non-medical questions can be addressed by the Parsley health coaches and staff.

Email etiquette

If an email question or request is deemed by your doctor or one of Parsley's staff to be too complicated or involved for us to respond via email, or they determine that your condition requires an in person exam or evaluation, they may, at their discretion, require that the member schedule a phone, telemedicine or in person visit instead of responding via email.

Scheduling and cancelling appointments

Appointments must be scheduled in advance during normal Parsley business hours and, although we will make every effort to accommodate your preferences, scheduling visits will be on a first-come basis and will be subject to our team members' individual availability.

There is a 24-hour cancellation policy for all appointments or any doctor, health coach or team member. Cancelling within 24-hours will result in a $50 charge to the credit card on file.
No-shows: If you do not show up to a phone, video/telemedicine or in person appointment without notifying the specific person you have an appointment with via email or without changing the appointment using the online scheduling tool on the patient portal, you will be charged $100 to the card on file.
We guarantee that we will have sufficient availability for you to schedule your provider sessions on a monthly basis. However, should your scheduling preferences not match our availability we are under no obligation to refund or extend your membership. Additional Information

We are not an insurance plan and do not take the place of a health insurance plan. We advise all members to maintain a separate health insurance plan of their choosing. You should also note that the Affordable Care Act (commonly called \"Obama Care\") includes a general requirement that all U.S. citizens purchase health insurance. A Parsley membership does not meet this requirement.

We are not your primary care physician. At Parsley we offer functional medicine and while we may offer many services that are similar to those provided by a primary care physician, we do not fulfill an insurance company's requirement that you select a primary care physician in your network, as we do not participate with any insurance carriers.

We also require that you have a primary care physician of record as we do not handle medical or mental health emergencies.

We are not specialists. If you need to see an OBGYN, a surgeon, or a cardiologist for example, you will be referred appropriately. The costs associated with the services provided by specialists or any other health care provider outside of Parsley are not covered by your Parsley membership

We are not an emergency or urgent care center and we are not available 24-hours per day. Our availability is during normal working hours and your ability to reach us or access our services at any given time may be limited. If you require urgent care you should immediately call 911 or contact an emergency care provider such as a local hospital urgent care center or emergency room. The costs associated with emergency care services are not covered by your Parsley membership.

We do not bill insurance companies. The cost of any services provided by Parsley which are not included in the membership fee will be billed to you directly.

Non-Parsley medical expenses such as lab tests and prescription medications may be covered by a member's health insurance plan per that plan's rules.
Parsley Health will not submit a medical claim to insurance on your behalf. We cannot assist you with claim resolution for our services.
Upon your request we will provide you with a detailed billing summary that you may submit to your insurance for reimbursement. There may be procedures or lab tests that are not covered depending on your plan's rules.

Lab Tests:

Most lab tests ordered by a Parsley physician will be billed directly to your insurance by the lab.
Some lab tests we offer as part of our functional medicine testing program may not be covered by insurance and in these cases you will be charged a fee for a particular test by the lab or through Parsley Health.
The specific tests ordered will be personalized to you based on your initial evaluation with Dr. Berzin and may include blood saliva urine or stool testing.
We will make every effort to make you fully aware of any additional lab fees that may be incurred and to give you the opportunity to choose which lab tests you feel comfortable paying for.
You are under no obligation to purchase any specialty testing.
Should any lab results indicate you may need further testing you will be directed to continue your care with your primary care physician or a relevant specialist, or should you choose you may continue to work with your Parsley physician.
At home test kits: If a lab test kit is mailed to you by Parsley, you will be charged the day the kit is mailed. This is not included in your membership fee.
Specimens: As a member you are not charged anything to have your lab specimen collected by our nursing staff at the Parsley Health office. You may also elect to have your specimen collected at a local collection center of your choice such as a LabCorp facility, in which case we will provide you with the documentation you need via the patient portal.
If your particular insurance company only pays for bloodwork done at a particular lab facility like LabCorp, you must inform us of this in advance of having bloodwork done. Most insurance plans cover labs done by major national labs however, including Bioreference, which is a lab often used by Parsley Health because of their favorable pricing policies for patients.

Your Parsley membership is personal to you and may not be shared, assigned or transferred to anyone else even if you are not using it. Parsley does offer employers the opportunity to provide Parsley's services to their employees on a discounted group basis. Before your first visit

Prior to your first scheduled visit to Parsley you will be required to provide medical and health background information and sign certain releases/authorizations and other documents regarding the care to be provided by Parsley and your personal information. You will not be able to access our medical care services until this paperwork is completed as required by Parsley. Instructions for completion of this paperwork will be provided separately.

If you wish to become a Member of Parsley Health please indicate your agreement with the terms described above by checking the box next to \"I AGREE.\" This action will create a contract between you and Parsley Health which may only be amended or supplemented in writing signed by you and Parsley. You will become a Parsley member when you receive written notification from our office following our receipt of your electronically signed copy of this agreement, your membership fee payment and any additional information we may request.
